These guidelines ("Guidelines") form a comprehensive agreement between Talluxe ("we," "us," or "our") and you, our esteemed influencer partner ("you" or "your"). By participating in the Talluxe Influencer Collaboration Program, you agree to adhere to these meticulously crafted Guidelines, ensuring a harmonious and fruitful partnership.

Scope of Collaboration

Purpose

The Talluxe Influencer Collaboration Program is designed to foster a dynamic and symbiotic relationship between our brand and talented influencers like you. Our overarching goal is to elevate Talluxe’s brand presence by leveraging your unique voice and creative prowess. Through this collaboration, we aim to amplify brand awareness, drive traffic to our website, and ultimately boost sales conversions. Your participation is pivotal in helping us achieve these ambitious objectives.

Participation Requirements

To ensure a mutually beneficial partnership, we have established the following criteria for participation in the Talluxe Influencer Collaboration Program:

• Alignment with Brand Values: You must be willing to create and share content that reflects Talluxe’s core values and brand ethos.

Content Creation

Content Standards

At Talluxe, we place immense value on the quality and authenticity of the content produced by our influencer partners. As such, we expect the following standards to be upheld:

• Authenticity: Your content should authentically represent your genuine opinions and experiences with Talluxe products. We believe that honesty and transparency are the cornerstones of effective influencer marketing.
• Creativity: We encourage you to unleash your creativity and produce content that is both captivating and innovative. Experiment with different formats, styles, and themes to showcase Talluxe products in the best possible light.
• Quality: High-resolution images and well-produced videos are essential to highlight the elegance and sophistication of Talluxe products. Ensure that your content is visually appealing and professionally executed.
• Brand Alignment: Your content should seamlessly integrate with Talluxe’s brand voice and aesthetics. Our brand is characterized by sophistication, minimalism, and warmth, and we expect these elements to be reflected in your creations.

Posting Requirements

Consistency and timeliness are critical to the success of our collaboration. To maintain momentum and keep our audience engaged, please adhere to the agreed-upon posting schedule and frequency. Ensure that your posts include appropriate hashtags and disclosures, as mandated by the Federal Trade Commission (FTC) and other relevant regulatory bodies. This not only ensures compliance but also fosters trust and transparency with your audience.

Compensation

Payment Terms

We recognize and appreciate the effort and creativity you bring to our collaboration. As such, we offer a variety of compensation models to reward your contributions:

• Monetary Compensation: You will receive financial remuneration for your content creation and promotional efforts based on the sales you generate. The specific payment terms, including amounts and payment schedules, will be detailed in your individual agreement with Talluxe.
• Product Provisions: To facilitate your content creation, we will provide you with Talluxe products at no cost. These products are yours to keep and utilize in your daily life, ensuring that your content remains authentic and relatable.
• Commission-Based Incentives: We offer commission-based incentives for driving sales through affiliate links or discount codes. This model not only rewards your promotional efforts but also encourages a performance-based partnership.
• Exclusive Opportunities: As a valued influencer partner, you may receive invitations to exclusive events, giveaways, and special collaborations. These opportunities provide additional exposure and strengthen our partnership.

 

Tier 1 payment (15% of earnings) - Post 1 interview promoting Talluxe Shoes

Tier 2 payment (20% of earnings) - Post 10 interviews promoting Talluxe Shoes

Tier 3 payment (25% of earnings) - Post 10 interviews promoting Talluxe Shoes and invite an additional influencer to collab. 

 

Intellectual Property

Ownership and Rights

By participating in the Talluxe Influencer Collaboration Program, you grant Talluxe a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute the content you create for promotional and marketing purposes. This license allows us to feature your content across our various marketing channels, including but not limited to our website, social media platforms, and advertising campaigns. While you retain ownership of the content, this license ensures that we can effectively leverage your creative work to enhance our brand presence.

Confidentiality

Non-Disclosure

We value the trust you place in us, and we are committed to maintaining the confidentiality of any proprietary or sensitive information shared during the course of our collaboration. This includes, but is not limited to, product information, marketing strategies, and financial details. You agree to keep such information confidential and not disclose it to any third parties without our prior written consent.

Compliance

Legal and Ethical Standards

Your participation in the Talluxe Influencer Collaboration Program requires strict adherence to all applicable laws, regulations, and industry standards. This includes compliance with the FTC guidelines on endorsements and testimonials, which mandate clear and conspicuous disclosures of any material connections between you and Talluxe. Additionally, you must respect intellectual property rights, avoid misleading or deceptive practices, and maintain a positive and respectful online presence.

Termination

Termination Conditions

Either party may terminate the collaboration with written notice, as specified in your individual agreement. Reasons for termination may include, but are not limited to, breach of these Guidelines, misalignment of brand values, or changes in business priorities. In the event of termination, both parties agree to handle the matter professionally and amicably, ensuring minimal disruption to ongoing activities.

Dispute Resolution

Resolution Process

In the unlikely event of a dispute arising from this collaboration, both parties agree to engage in good faith negotiations to resolve the issue amicably. If a resolution cannot be reached through informal discussions, the dispute may be escalated to mediation or arbitration as per the terms outlined in your individual agreement. This structured approach ensures that any disagreements are resolved in a fair and efficient manner.

Amendments

Modification of Guidelines

Talluxe reserves the right to modify these Guidelines at any time, with or without prior notice. Any changes will be communicated to you promptly, and your continued participation in the program constitutes acceptance of the revised Guidelines.
